Hi Thomas, all, I just talked to the notary. He said the following: 1. We need a protocol that documents the changes of the "Satzung" (complete diff from the initial version of the constitutional assembly) and records the confirmation of all members. (Etwa: Hauke Petersen stimmt der Satzungsänderung mit Email vom 7.2.2017 zu). It should mention that these changes have been done to conform to the tax requirements. The notary was uncertain about this email process, but thinks it might get through. 2. With the original protocol (incl. signature sheet), this new protocol and the new Satzung, we need to go to the notary. Surprisingly, it suffices nowadays that only a "vertretungsberechtiger Vorstand" appears, which is actually each member of the Vorstand. So we actually don't your presence, Thomas, different from what I had assumed up until now. (Sorry for the confusion - apparently this has changed). Discussion and Vote on updated Articles of Association

Dear associating IoTers, Over the course of the last months we got some feedback from the German tax authorities regarding our articles of association. To be able to apply for a tax reduction as an association for common goods we had to make some (minor) changes. The essential points we agreed on should still be reflected in the updated version though. To move forward we ask every founding member to read the updated version and clearly state their agreement or disagreement. Minutes will summarize this process and eventually evolving discussions. For your convenience, besides the complete markdown and pdf files, a diff file is attached, showing changes between the version subject to the last vote and the updated current version with the feedback of the tax office and cosmetic changes.
